\u00a71 SCOPE<\/span><\/strong><\/p>

StrategicPlay\u00ae<\/span> and<\/span> CoCreACT\u00ae<\/span>\u200b<\/span> These are registered trademarks of Hoffmann Consulting GmbH, Eppendorfer Baum 11, 20249 Hamburg. These General Terms and Conditions apply to all services provided by Hoffmann Consulting GmbH under the StrategicPlay brand. <\/span>\u00ae<\/span> and CoCreACT<\/span> \u00ae<\/span>These terms and conditions apply regardless of whether the training is delivered in person, virtually, in a hybrid format, or as a digital self-learning course, and regardless of the booking channel. They supersede all previous versions of the General Terms and Conditions of Hoffmann Consulting GmbH. <\/span><\/p>

Any differing terms and conditions of the customer shall not apply, even if Hoffmann Consulting GmbH does not expressly object to them.<\/span><\/p>

Hoffmann Consulting GmbH reserves the right to amend these Terms and Conditions at any time. Changes of a purely technical nature or those that do not disadvantage users will take effect upon publication on the platform. In the event of significant changes, registered users will be informed by email and asked to actively agree to the amended terms. Without this agreement, further use of paid services is not possible. <\/span><\/p>

\u00a72 CONCLUSION OF CONTRACT AND PAYMENT<\/span><\/strong><\/p>

The contract is concluded upon receipt of the booking confirmation or invoice. For free offers made available upon provision of an email address, no purchase contract is concluded; only the data protection regulations pursuant to Section 7 of these Terms and Conditions apply. <\/span><\/p>

All prices quoted include statutory VAT. Invoices are due for payment immediately upon receipt unless a different payment term is specified. In the event of late payment, Hoffmann Consulting GmbH is entitled to suspend access to booked services until payment is received. <\/span><\/p>

\u00a73 RIGHT OF WITHDRAWAL<\/span><\/strong><\/p>

Consumers within the meaning of \u00a713 BGB have a statutory right of withdrawal of 14 days from the conclusion of the contract.<\/span><\/p>

The right of withdrawal expires prematurely for digital content and online formats if Hoffmann Consulting GmbH has begun performance of the contract and the customer has expressly agreed that the right of withdrawal expires upon commencement of performance and has confirmed having been informed of this fact. This consent is obtained during the booking process. <\/span><\/p>

For in-person training sessions and time-bound formats, the cancellation conditions according to \u00a74 apply.<\/span><\/p>

\u00a74 CANCELLATION AND WITHDRAWAL<\/span><\/strong><\/p>

Cancellation by the customer<\/span><\/strong><\/p>

For scheduled formats\u2014including in-person training, virtual training with fixed dates, and hybrid formats\u2014cancellations by the client are free of charge up to six calendar weeks before the planned start date. For cancellations received more than four calendar weeks before the start date, Hoffmann Consulting GmbH charges a cancellation fee of 50% of the invoice amount. For cancellations received less than four calendar weeks before the start date, the full invoice amount is due. The full fee remains payable even in the case of complete or partial non-attendance. <\/span><\/p>

All cancellations must be in writing and sent by email to service@strategicplay.de.<\/span><\/p>

Participants are entitled to nominate a substitute, provided that the substitute meets the participation requirements.<\/span><\/p>

For digital self-learning formats without a fixed date, cancellation is not possible once access has been activated. The statutory right of withdrawal remains unaffected, unless it has expired in accordance with \u00a73. <\/span><\/p>

Cancellation or postponement by Hoffmann Consulting GmbH<\/span><\/strong><\/p>

If a scheduled event cannot take place due to trainer illness, force majeure, pandemic, or other unforeseen circumstances, there is no entitlement to its execution. In such cases, Hoffmann Consulting GmbH will offer an alternative date, issue a credit for a future event, or refund the full amount. Further claims, in particular for reimbursement of travel or accommodation expenses, are excluded. <\/span><\/p>

If the minimum number of participants is not reached, participants can choose between a substitute date, a credit towards a future event of Hoffmann Consulting GmbH or a full refund of the amount paid.<\/span><\/p>

Hoffmann Consulting GmbH reserves the right to exclude participants from the event with immediate effect in cases of disruptive, dangerous, or repeatedly rule-breaking behavior. This applies to in-person events as well as virtual formats. In such cases, there is no entitlement to a refund of the participation fee or reimbursement of travel and accommodation expenses. <\/span><\/p>

\u00a75 USER ACCOUNTS AND PLATFORM USE<\/span><\/strong><\/p>

Access to paid services on the cocreact.learnworlds.com platform requires the creation of a personal user account. By creating an account, the user confirms that all information provided is truthful and up-to-date. Login credentials must be kept confidential and must not be shared with third parties. Hoffmann Consulting GmbH accepts no liability for damages resulting from the disclosure of login credentials by the user. In case of suspected unauthorized access, Hoffmann Consulting GmbH must be notified immediately at [contact information missing in original text]. <\/span>Please inform us<\/span> at service@strategicplay.de<\/a> .<\/p>

The use of the platform’s communication and community features requires that users treat each other with respect. In particular, it is prohibited to publish offensive, discriminatory, threatening, or illegal content, to harass other users, to impersonate other persons or representatives of Hoffmann Consulting GmbH, or to use the platform for unsolicited mass communication. Hoffmann Consulting GmbH is entitled to suspend or delete accounts without prior notice in the event of violations of these Terms and Conditions. <\/span><\/p>

Audio and video recordings of live sessions\u2014whether in person or virtually\u2014are not permitted without the express written consent of Hoffmann Consulting GmbH. This applies to recordings made by participants as well as by third parties. <\/span><\/p>

\u00a76 PROTECTIVE RIGHTS AND RIGHTS OF USE<\/span><\/strong><\/p>

All content, materials, methods, concepts, models, terms, and other work results used or provided within the context of training courses, workshops, or digital formats of Hoffmann Consulting GmbH are copyrighted intellectual property of Hoffmann Consulting GmbH. Any reproduction, distribution, publication, or commercial use of this content is prohibited without express written permission. <\/span><\/p>

Upon successful completion, participants receive a personal, non-transferable, and non-exclusive right to use the learned methods and tools for their own practical application. This right includes the design and facilitation of workshops and group processes within their own professional context, where the learned methods are used to work with groups on their own specific issues. <\/span><\/p>

Specifically excluded are the transfer, licensing, or commercial exploitation of the methods as one’s own work; the conducting of training courses that instruct third parties in the application of the methods; the offering or sale of formats based on the intellectual property of Hoffmann Consulting GmbH; and any representation that creates the impression that the participant developed the methods themselves. Received materials may not be altered, digitally distributed, or integrated into one’s own materials. <\/span><\/p>

The client is not authorized to offer or conduct training courses on the methods taught by Hoffmann Consulting GmbH within a period of 5 years after completion of the training. This applies to all countries where the rights to the StrategicPlay trademarks are held. <\/span>\u00ae<\/span> and CoCreACT<\/span> \u00ae<\/span> are held by Hoffmann Consulting GmbH \u2014 in particular, but not exclusively, Germany, Austria and Switzerland.<\/span><\/p>

The customer is under no circumstances entitled to sell training documents, materials or other intellectual property of Hoffmann Consulting GmbH or to offer or conduct online, video or other digital forms of training and workshops based on tools, methods or other intellectual property of Hoffmann Consulting GmbH.<\/span><\/p>

Special usage rights after certification<\/span><\/strong><\/p>

Participants who have successfully completed a certification course offered by Hoffmann Consulting GmbH are entitled to use the respective certification title in their professional communications. However, the use of the title does not entitle them to create the impression that they are affiliated with CoCreACT. <\/span>\u00ae<\/span> or StrategicPlay<\/span> \u00ae<\/span> It is prohibited to speak on behalf of Hoffmann Consulting GmbH, to act on its behalf, or to use its trademarks as one’s own. The use of the trademarked logos is not permitted without separate written authorization. <\/span><\/p>

A certificate or proof of participation is only issued upon full compliance with the applicable requirements. This right is forfeited if a participant is excluded from a format due to violations of these terms and conditions or disruptive behavior. In such cases, there is no entitlement to a refund of the participation fee. <\/span><\/p>

\u00a77 DATA PROTECTION<\/span><\/strong><\/p>

Personal data is processed in accordance with the privacy policy of Hoffmann Consulting GmbH, which can be found at<\/span> https:\/\/www.strategicplay.de\/datenschutzerklaerung-eu\/<\/a> This is accessible and incorporated into these Terms and Conditions. By booking or registering for free offers, the user consents to the processing of the provided data for the purpose of contract fulfillment. Information on further offers will only be sent based on separate consent. <\/span><\/p>

\u00a78 LIABILITY<\/span><\/strong><\/p>

Hoffmann Consulting GmbH’s liability is governed by statutory provisions. Claims for damages are excluded unless caused by intent or gross negligence, personal injury, or a breach of essential contractual obligations. In cases of slight negligence resulting in a breach of essential contractual obligations, liability is limited to the foreseeable damages typical for this type of contract. Liability for indirect damages, lost profits, or third-party claims is excluded. <\/span><\/p>

Hoffmann Consulting GmbH strives to ensure the reliable availability of its digital services, but does not guarantee uninterrupted operation. Disruptions caused by technical maintenance, third-party outages, or force majeure do not entitle customers to a refund. <\/span><\/p>

\u00a79 STATUTE OF LIMITATIONS<\/span><\/strong><\/p>

Claims by the customer become time-barred, to the extent permitted by law, twelve months after the claims arise. The statutory limitation periods apply to claims for damages. <\/span><\/p>

\u00a710 SEVERABILITY CLAUSE<\/span><\/strong><\/p>

Should any provision of these Terms and Conditions be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be deemed replaced by a valid provision that most closely approximates the economic purpose of the invalid provision. <\/span><\/p>

\u00a711 APPLICABLE LAW AND JURISDICTION<\/span><\/strong><\/p>

The laws of the Federal Republic of Germany shall apply exclusively. The place of jurisdiction is Hamburg. <\/span><\/p>

For material amendments, registered users will be notified by email and asked to actively consent to the updated terms. Without such consent, further use of paid offerings is not possible. <\/span><\/p>

\u00a72 CONTRACT FORMATION AND PAYMENT<\/span><\/strong><\/p>

A binding contract is formed upon receipt of the booking confirmation or invoice. For free offerings made accessible in exchange for an email address, no purchase contract is formed; only the data protection provisions set out in \u00a77 of these Terms and Conditions apply. <\/span><\/p>

All stated prices include statutory VAT. Invoices are due for payment immediately upon receipt, unless a different payment period is specified. In the event of late payment, Hoffmann Consulting GmbH is entitled to suspend access to booked services until payment has been received. <\/span><\/p>

\u00a73 RIGHT OF WITHDRAWAL<\/span><\/strong><\/p>

Consumers within the meaning of \u00a7 13 of the German Civil Code (BGB) have a statutory right of withdrawal of 14 days from the date the contract is formed.<\/span><\/p>

For digital content and online formats, the right of withdrawal lapses early if Hoffmann Consulting GmbH has begun performing the contract and the customer has expressly agreed that the right of withdrawal lapses upon commencement of performance, and has confirmed having taken note of this. This consent is obtained during the booking process. <\/span><\/p>

For in-person training and scheduled formats, the cancellation terms set out in \u00a74 apply.<\/span><\/p>

\u00a74 CANCELLATION AND CANCELLATION BY HOFFMANN CONSULTING GMBH<\/span><\/strong><\/p>

Cancellation by the Customer<\/span><\/strong><\/p>

For scheduled formats \u2014 including in-person training, virtual training with fixed dates, and hybrid formats \u2014 cancellations by the customer are free of charge up to 6 calendar weeks before the planned start. For cancellations received earlier than 4 calendar weeks before the start, Hoffmann Consulting GmbH will charge a cancellation fee of 50% of the invoice amount. For cancellations received later than 4 calendar weeks before the start, the full invoice amount is due at 100%. The full fee remains payable in the event of complete or partial non-attendance. <\/span><\/p>

All cancellations must be made in writing and sent by email to service@strategicplay.de.<\/span><\/p>

Participants are entitled to nominate a replacement participant, provided the replacement meets the participation requirements.<\/span><\/p>

For digital self-study formats without a fixed date, no cancellation is possible once access has been activated. The statutory right of withdrawal remains unaffected to the extent it has not lapsed under \u00a73. <\/span><\/p>

5 USER ACCOUNTS AND PLATFORM USE<\/span><\/strong><\/p>

Access to paid offerings on the platform cocreact.learnworlds.com requires the creation of a personal user account. By creating an account, the user confirms that all information provided is accurate and up to date. Login credentials must be kept confidential and must not be shared with third parties. Hoffmann Consulting GmbH accepts no liability for damages arising from the disclosure of login credentials by the user. Any suspected unauthorized access must be reported immediately to service@strategicplay.de. <\/span><\/p>

Use of the communication and community features of the platform requires that users treat one another with respect. In particular, it is prohibited to publish offensive, discriminatory, threatening or unlawful content, to harass or threaten other users, to impersonate other individuals or representatives of Hoffmann Consulting GmbH, or to use the platform for unsolicited mass communication. Hoffmann Consulting GmbH reserves the right to suspend or delete accounts in the event of violations of these Terms and Conditions without prior notice. <\/span><\/p>

All content, materials, methods, concepts, models, designations and other work products used or provided in the context of training, workshops or digital formats offered by Hoffmann Consulting GmbH are protected by copyright and constitute the intellectual property of Hoffmann Consulting GmbH. Any reproduction, distribution, publication or commercial use of this content, whether in whole or in part, is prohibited without express written consent. <\/span><\/p>

Upon successful completion of a format, participants receive a personal, non-transferable and non-exclusive right to use the methods and tools acquired during that format for their own practical application. This right covers the design and facilitation of workshops and group processes in their own professional context, in which the methods are applied to help groups work on their own questions and challenges. <\/span><\/p>

This right expressly does not cover the transfer, licensing or commercial exploitation of the methods as a service of one’s own, the delivery of training that educates third parties in the use of the methods, the offering or sale of formats based on the intellectual property of Hoffmann Consulting GmbH, or any representation creating the impression that the participant developed the methods themselves. Materials received may not be modified, shared digitally, or incorporated into the participant’s own materials. <\/span><\/p>

The customer is not entitled to offer or conduct training on the instructed methods within a period of 5 years after completing a training program with Hoffmann Consulting GmbH. This applies to all countries in which the rights to the trademarks StrategicPlay <\/span>\u00ae<\/span> and CoCreACT<\/span> \u00ae<\/span> are held by Hoffmann Consulting GmbH \u2014 including, but not limited to, Germany, Austria and Switzerland.<\/span><\/p>

The customer is not entitled in any case to sell training materials or other intellectual property of Hoffmann Consulting GmbH, or to offer or conduct online, video or other digital forms of training and workshops based on tools, methods or other intellectual property of Hoffmann Consulting GmbH.<\/span><\/p>

Additional Rights Following Certification<\/span><\/strong><\/p>

Participants who have successfully completed a certification program offered by Hoffmann Consulting GmbH are entitled to use the respective certification title in their professional communications. This does not authorize the holder to create the impression of speaking on behalf of CoCreACT\u00ae or StrategicPlay\u00ae, acting in the name of Hoffmann Consulting GmbH, or using the CoCreACT\u00ae or StrategicPlay\u00ae brands as their own. Use of the trademarked logos of CoCreACT <\/span>\u00ae<\/span> and StrategicPlay<\/span> \u00ae<\/span> requires separate written permission.<\/span><\/p>

Entitlement to a certificate or proof of participation exists only upon full completion of the applicable requirements. In the event of exclusion from a format for any reason, this entitlement lapses. No refund of the participation fee is due in such cases. <\/span><\/p>

\u00a77 DATA PROTECTION<\/span><\/strong><\/p>

Personal data is processed in accordance with the privacy policy of Hoffmann Consulting GmbH, available at https:\/\/www.strategicplay.de\/datenschutzerklaerung-eu\/, which is incorporated into these Terms and Conditions by reference. By making a booking or registering for a free offering, the user consents to the processing of the data provided for the purpose of contract fulfillment. The sending of information about further offerings is only carried out on the basis of separate consent. <\/span><\/p>

\u00a78 LIABILITY<\/span><\/strong><\/p>

The liability of Hoffmann Consulting GmbH is governed by applicable statutory provisions. Claims for damages are excluded unless the damage results from intentional misconduct or gross negligence, involves personal injury, or arises from the breach of a material contractual obligation. In the event of a slightly negligent breach of a material contractual obligation, liability is limited to the foreseeable damage typical for this type of contract. Liability for indirect damages, lost profits or third-party claims is excluded. <\/span><\/p>

Hoffmann Consulting GmbH aims to ensure reliable availability of its digital offerings but does not guarantee uninterrupted operation. Disruptions caused by technical maintenance, third-party outages or force majeure do not give rise to any entitlement to a refund. <\/span><\/p>
